1. Introduction

These Terms and Conditions (“Terms”) govern all services provided by Diginodal, operated by Hardik Vispute (“we”, “us”, “the Company”), to any individual or business (“Client”, “you”) engaging our website development, SEO, or automation services. By proceeding with any Diginodal service — whether confirmed verbally, via WhatsApp, email, or written agreement — you confirm that you have read, understood, and agreed to these Terms.

Diginodal provides services to clients both locally in Maharashtra, India, and remotely to clients anywhere.


2. Services

Diginodal provides the following categories of services:

Website Development — custom and WordPress/WooCommerce website design and development, landing pages, e-commerce stores, mobile-responsive design, and website maintenance.

SEO (Search Engine Optimization) — on-page SEO, technical SEO, local SEO, keyword research, content/copywriting, Google Business Profile setup and optimization, Google Search Console and Google Analytics setup, and monthly SEO retainers.

Automation — business process automation, workflow automation, AI-powered automation tools, and integrations with third-party platforms (e.g., WhatsApp, payment gateways, CRM tools).

The exact deliverables for any engagement are defined in the proposal, quotation, or scope document shared with the Client before work begins, and these Terms apply in addition to that document.


3. Project Scope

The scope of each project is agreed upon before work begins, via a written proposal, quotation, or WhatsApp-confirmed scope of work. Any features, pages, revisions, or automations requested beyond the agreed scope will be treated as additional work, quoted separately, and require Client approval before Diginodal proceeds. Diginodal will always notify the Client in advance of any additional charges arising from out-of-scope requests.


4. Payment Terms

Unless otherwise agreed in writing:

  • A minimum of 50% advance payment is required before work begins on any one-time project (e.g., website builds, one-time SEO audits or setups).
  • The remaining balance is due upon project completion, before final files, source code, credentials, or system access are handed over to the Client.
  • For monthly retainer services (ongoing SEO, maintenance, or automation support), payment is due on or before the 1st of each billing month. Services will be paused if payment is not received within 7 days of the due date.
  • Domain registration and hosting costs, where not already owned by the Client, are billed separately at cost unless explicitly included in a package.

Payments are accepted via UPI, bank transfer, or Razorpay. Advance payments are non-refundable once work has commenced, as they cover time, resources, and third-party costs already committed to the project.


5. Client Responsibilities

The Client agrees to:

  • Provide all required content, images, logos, credentials, and information in a timely manner.
  • Review and approve deliverables (designs, drafts, automations) within a reasonable timeframe to keep the project on schedule.
  • Ensure that any content, trademarks, or media supplied to Diginodal for use on the website or in marketing materials are lawfully owned or licensed by the Client.

Delays caused by the Client (late content, delayed approvals, unresponsive communication) may extend the project timeline accordingly and do not constitute a delay on Diginodal’s part.


6. Intellectual Property

Upon full and final payment, the Client owns the final website design, content, and domain associated with their project, except for any third-party themes, plugins, stock assets, or licensed tools used in the build, which remain subject to their original license terms.

Diginodal retains ownership of any proprietary tools, scripts, automation frameworks, or internal systems used to deliver services, unless a custom tool is explicitly built for and sold to the Client as a deliverable under a separate written agreement. The Client is granted a license to use any such retained tools only for as long as they remain an active client under a relevant retainer or subscription.


7. Revisions and Approvals

Each project includes a reasonable number of revision rounds as outlined in the project proposal. Requests for changes beyond the agreed revision rounds, or changes requested after final Client sign-off and launch, will be treated as new work and quoted separately.


8. Data and Privacy

Diginodal collects only the information necessary to deliver its services — such as business details, content, and access credentials explicitly provided by the Client for the purpose of the project. We do not sell or share Client data with third parties except where required to deliver the agreed service (e.g., hosting providers, payment gateways, or automation platforms integrated at the Client’s request). 9. Limitation of Liability

Diginodal’s total liability for any claim arising from our services shall not exceed the total fees paid by the Client in the 3 months preceding the claim. Diginodal is not liable for:

  • Revenue loss or business impact due to internet outages, hosting provider downtime, or third-party platform failures outside our control.
  • Search engine ranking changes resulting from algorithm updates by Google or other search engines, as SEO results depend on factors beyond any agency’s direct control.
  • Delays or issues caused by the Client’s failure to provide required access, content, or timely approvals.
  • Any misuse of automation tools or systems by the Client or their staff after handover.

Diginodal makes reasonable efforts to deliver measurable improvements in visibility, traffic, or efficiency, but does not guarantee specific rankings, traffic numbers, lead volumes, or revenue outcomes, as these depend on multiple factors beyond our direct control, including market conditions and Client-side execution.


10. Termination

The Client may terminate any ongoing monthly/retainer service with 15 days’ written notice via WhatsApp or email, effective at the end of the current billing month. One-time projects, once started, may only be cancelled subject to payment for work already completed.

Diginodal may terminate services immediately, without refund of advance payments, if the Client:

  • Uses Diginodal’s services or deliverables for illegal activities;
  • Fails to make payment for more than 30 days past the due date;
  • Attempts to copy, resell, or misrepresent Diginodal’s proprietary tools or systems as their own.

11. Disputes

Both parties agree to first attempt resolution of any dispute through direct communication within 14 days. Unresolved disputes are subject to the jurisdiction of courts in Maharashtra, India.


12. Changes to These Terms

Diginodal may update these Terms from time to time to reflect changes in our services or legal requirements. The updated Terms will be posted on this page with a revised effective date. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
