Diginodal — Web Solutions & Gaming Zone Infrastructure Effective Date: June 2026  |  Last Updated: June 2026  |  Governing Law: India
By engaging Diginodal's services — verbally, via WhatsApp, email, or written agreement — you confirm that you have read and agree to these Terms and Conditions in full. Please read carefully before proceeding.

1 Introduction

These Terms and Conditions govern all services provided by Diginodal, operated by Hardik Vispute ("we", "us", "Company"), to any individual or business entity ("Client", "you") engaging our services. This Agreement constitutes the entire agreement between Diginodal and the Client and supersedes all prior communications.

Diginodal reserves the right to update these terms at any time. Clients will be notified of material changes via WhatsApp or email.

2 Services Offered

2.1   Web Solutions

Web Development
  • WordPress and WooCommerce website design and development
  • eCommerce store setup including payment gateway integration (Razorpay / PayU)
  • Search Engine Optimisation (SEO) — on-page, technical, and local SEO
  • Google Business Profile setup and optimisation
  • Google Search Console and Google Analytics 4 configuration
  • Google Merchant Center and Shopping campaign setup
  • WhatsApp and social media automation integrations
  • Website copywriting and SEO blog content
  • Monthly maintenance and support retainers

2.2   Gaming Zone Infrastructure

Infrastructure
  • Diskless PXE boot system design, installation, and configuration
  • Central server setup and local network configuration
  • Windows imaging, game library setup, and Steam PC Cafe program registration
  • Billing software deployment — session management and lock/unlock system
  • Remote monitoring, automated overnight game updates, and maintenance
  • Hardware guidance and procurement assistance
  • Owner dashboard access and training
  • Ongoing monthly support and remote management

3 Project Scope & Deliverables

The scope of each project is agreed upon before work begins via a written or WhatsApp-confirmed proposal specifying services, timeline, pricing, and requirements. Any work beyond the agreed scope will be quoted and billed separately. Diginodal will notify the Client before proceeding with any out-of-scope work.

4 Payment Terms

4.1   Web Development Projects

  • 50% advance payment is required before work commences
  • Remaining 50% is due upon completion, before credentials or files are handed over
  • Monthly retainer payments are due on or before the 1st of each month
  • Retainer services will be paused if payment is not received within 7 days of the due date

4.2   Gaming Zone Infrastructure

  • 50% of the setup fee is required before installation begins
  • Remaining 50% is due upon successful deployment and handover
  • Monthly maintenance fee is due on or before the 1st of each month
  • System enters degraded mode if monthly fee is unpaid beyond 15 days
  • Remote services suspended if monthly fee is unpaid beyond 30 days

4.3   Payment Methods & Refunds

Payments are accepted via UPI, bank transfer, or Razorpay payment link. Advance payments are non-refundable once work has commenced. If Diginodal fails to deliver agreed services through no fault of the Client, a pro-rated refund will be considered at Diginodal's discretion.

5 Client Responsibilities

  • Provide all required content, logos, images, and credentials in a timely manner — delays caused by the Client do not constitute delays by Diginodal
  • Ensure the gaming zone has adequate power supply, networking, and internet connectivity before Diginodal's installation date
  • Not share, resell, or transfer Diginodal's software, systems, or credentials to any third party
  • Not attempt to reverse-engineer, copy, or replicate Diginodal's infrastructure software
  • Ensure all game licenses and platform accounts are legitimately owned by the Client
  • Inform Diginodal immediately of any technical issues, hardware failures, or security incidents

6 Intellectual Property

Upon full and final payment, the Client owns their website content, design files, and domain. Diginodal retains full ownership of all gaming zone infrastructure software, node agent, billing client, dashboard, and proprietary scripts. The Client is granted a non-transferable licence to use Diginodal's infrastructure software for the duration of their active paid subscription only.

7 Data & Privacy

Diginodal's gaming zone system collects session duration, hardware health telemetry, and uptime logs for operational purposes only. We do not collect customer keystrokes, browsing activity, passwords, or payment information. All data is stored securely and used solely for service delivery. Clients may request a summary of collected data at any time.

8 Limitation of Liability

Diginodal's total liability for any claim shall not exceed the total fees paid by the Client in the preceding 3 months. Diginodal is not liable for revenue loss due to internet outages, power failures, hardware failure outside our control, game account bans caused by Client behaviour, or delays caused by the Client's failure to provide required access or information.

9 Gaming Zone — Specific Terms

Hardware Ownership
All hardware including PCs, monitors, server machines, and networking equipment is purchased by and remains the property of the Client. Diginodal is not responsible for hardware defects or warranty claims.
Game Licensing
The Client is solely responsible for ensuring all games are properly licensed for commercial use. Diginodal assists with Steam PC Cafe program registration but is not liable for publisher policy changes or account bans caused by Client usage.
Anti-Cheat Compatibility
Diginodal tests and confirms anti-cheat compatibility per game title before deployment. A list of confirmed supported titles is provided at the time of deployment. Diginodal does not guarantee compatibility with all games.
Service Continuity on Exit
Upon termination, Diginodal will provide billing transaction data in CSV format within 7 days and remove Diginodal software within 14 days. The Client's hardware will continue to function as standard PCs after removal.

10 Termination

The Client may terminate any service with 30 days written notice via WhatsApp or email. Monthly services may be cancelled at the end of any billing month with 15 days notice.

Diginodal may terminate services immediately if the Client uses our systems for illegal activities, fails to pay for more than 45 days, or attempts to copy or resell Diginodal's software.

11 Confidentiality

Both parties agree to keep confidential any proprietary information, pricing, or business information shared during the engagement. Diginodal may use the Client's business name as a portfolio reference unless the Client requests otherwise in writing.

12 Dispute Resolution

In the event of a dispute, both parties agree to first attempt resolution through direct communication within 14 days. Unresolved disputes are subject to the jurisdiction of courts in Maharashtra, India, under applicable Indian law.

13 General

  • This Agreement constitutes the entire agreement between Diginodal and the Client
  • If any provision is found unenforceable, the remaining provisions continue in full force
  • Failure to enforce any provision does not constitute a waiver of that provision
  • These terms apply to all services regardless of how the engagement was initiated
