1. Acceptance of Terms

By registering as a vendor on Diginodal (“Vendor Platform”), you agree to be bound by these Vendor Terms of Use, our Terms and Conditions, Privacy Policy, and any operational guidelines issued by Diginodal.

These Terms constitute an electronic record under the Information Technology Act, 2000.

If you do not agree to these Terms, you may not register or sell on the Platform.

2. Operator Information

Diginodal is operated from Maharashtra, India.

All vendor relationships are governed by applicable Indian laws.

3. Eligibility

To register as a vendor, you must:

• Be at least 18 years old
• Be legally capable of entering into binding contracts
• Provide accurate KYC details (PAN, Aadhaar, GST if applicable)
• Ensure all listed products comply with Indian law

We reserve the right to approve, reject, suspend, or terminate any vendor account at our sole discretion.

4. Vendor Responsibilities

As a vendor, you agree to:

• List only genuine and legally permitted digital products
• Ensure product descriptions are accurate and not misleading
• Deliver digital products within the specified time
• Maintain communication standards with customers

Vendors are solely responsible for the authenticity and legality of their listings.

5. Prohibited Listings

The following are strictly prohibited:

• Counterfeit or pirated content
• Illegal software keys
• Stolen or unauthorized accounts
• Adult, offensive, or unlawful material
• Products that violate gaming platform policies

Diginodal reserves the right to remove any listing without prior notice.

6. Commission and Fees

Diginodal may charge a commission or platform fee on each successful transaction.

The applicable commission structure will be communicated separately within the vendor dashboard or onboarding agreement.

We reserve the right to modify commission rates with prior notice.

7. Payments and Payouts

Vendor payouts will be processed after:

• Order confirmation
• Verification of successful delivery
• Completion of any applicable holding period

Diginodal may retain a security reserve or temporary hold to protect against fraud, disputes, or chargebacks.

8. Returns and Disputes

Vendors agree to comply with Diginodal’s Refund and Dispute Policy.

In case of disputes:

• Diginodal may investigate the transaction
• Request supporting evidence
• Issue refunds to customers where justified
• Adjust vendor payouts accordingly

Diginodal’s resolution decision shall be final within the platform ecosystem.

9. Intellectual Property

Vendors confirm that all uploaded product content, including images and descriptions:

• Is owned by them or properly licensed
• Does not infringe third-party rights

By listing on Diginodal, vendors grant Diginodal a non-exclusive, royalty-free license to display and promote product content for marketplace purposes.

10. Platform Use Restrictions

Vendors may not:

• Manipulate reviews or ratings
• Circumvent platform fees
• Contact customers outside approved communication channels
• Engage in fraudulent transactions
• Attempt to reverse engineer platform systems

Violations may result in immediate suspension.

11. Account Suspension and Termination

Diginodal may suspend or terminate vendor accounts if:

• These Terms are violated
• Fraud or abuse is detected
• Repeated delivery failures occur
• Illegal products are listed

Vendors may request voluntary termination by submitting a written request. All pending disputes must be resolved before closure.

12. Limitation of Liability

The Vendor Platform is provided “as is” and “as available.”

Diginodal does not guarantee uninterrupted service and shall not be liable for indirect, incidental, or consequential damages arising from platform use.

13. Indemnification

Vendors agree to indemnify and hold harmless Diginodal and its representatives from claims arising out of:

• Vendor product listings
• Violation of law
• Intellectual property infringement
• Customer disputes caused by vendor actions

14. Events Beyond Control

Diginodal shall not be liable for delays or failures due to circumstances beyond reasonable control, including technical outages, natural disasters, or regulatory actions.

15. Governing Law

These Terms are governed by the laws of India.

Any disputes shall be subject to the jurisdiction of courts located in Maharashtra, India.

16. Modifications

Diginodal reserves the right to update these Vendor Terms at any time. Continued use of the Platform constitutes acceptance of updated Terms.
